FAIRFAX, VA, April 25, 2002 - ICF Consulting announced
today that it has signed agreements to acquire two major consulting
divisions of Arthur D. Little, Inc. (ADL). These divisions,
known as Global Environment & Risk (Americas) and Public
Sector Program Management, will strengthen and expand significantly
ICF Consulting's existing businesses in environment, energy,
applied technology, and program management consulting. The
transaction is subject to final approval by the U.S. Court.
ICF Consulting expects the transaction to close by early May;
however, its management of the divisions is effective immediately.
Arthur D. Little is the world's first management consulting
firm and for more than a century it has brought leading-edge
expertise in strategy, implementation, and technology to help
governments and corporations around the world. "Arthur
D. Little and ICF Consulting have similar traditions of quality

Global Environment & Risk (Americas) division offers
diversified environmental services in four functional areas:
science and engineering; environmental systems and risk management;
applied process technology; and environmental chemistry. These
services are provided to all levels of government, energy
utilities, and the chemical, resource, and service industries.
Kesavan explained, "This division's technology and engineering
credentials extend ICF Consulting's expertise in life sciences,
risk assessment, and economic analysis."
Public Sector Program Management division provides expertise
in program management, technology management, learning integration,
e-government, and customer relationship management. Key clients
include the FAA, IRS, Postal Service, U.S. Army, and South
Carolina Research Authority. Kesavan explained, "This
division presents ICF Consulting with an important opportunity
to diversify its federal client base, add significant expertise
in on-site program management and technology management services,
and provide significant leverage for our existing competencies
in e-learning, strategic communications, and information technology."
